On June 2, 2026, PATEO (2889.HK) issued an announcement disclosing that the Company, on the same day, signed a Memorandum of Intent for Share Acquisition with Ping An Capital Co., Ltd. or its managed funds regarding the proposed acquisition of a controlling stake and voting control in an integrated circuit design enterprise professionally engaged in the R&D of high-performance communication chips (hereinafter referred to as the "Target Company”).

The announcement noted that the Target Company is a China-incorporated joint-stock company specializing in integrated circuit design for high-performance communication chip development. Utilizing a fabless business model, it focuses on the R&D, design, and sales of high-speed optoelectronic chips, high-performance analog chips, and modules. Its optoelectronic chip products are among the core chips for current AI data center optical modules, representing an industry sector where domestic supply is highly scarce.

In the announcement, PATEO stated that the proposed transaction aims to drive the Company' s strategic extension into the upstream chip sector. If the transaction is finalized, the company will integrate the Target Company' s core capabilities in optoelectronic chips, optical modules, and leading customer resources into its own system, further strengthening its “hardware, software, chip, and cloud” integration strategy, enabling the Company to establish a comprehensive industrial footprint that combines "intelligent vehicle solutions and high-performance communication chips.”

Specifically, as smart cockpits and advanced intelligent driving continuously drive up the demand for high-bandwidth, low-latency connectivity, optical chips and related technologies will become a critical foundation for next-generation in-vehicle communications and data processing. The proposed transaction will help the Company secure an early foothold in this technological field. Meanwhile, the new business' s customer base in high-performance computing fields, such as AI servers, will generate synergies with the Company's existing automotive business, deepening its footprint in the "vehicle-cloud”data closed-loop and computing power infrastructure segments, enhancing its comprehensive competitiveness and long-term growth potential.

This acquisition marks a critical strategic foothold for PATEO in the intersection of “intelligent vehicles × AI computing power,”helping to extend the Company's valuation logic from a single automotive intelligence business to high-growth sectors such as AI computing power infrastructure, optoelectronic chips, and in-vehicle optical communications, opening up new horizons for its medium- to long-term development.
